BY-LAWS

ARTICLE I
Name

This Organization shall be known as the New York State Amateur Trapshooting Association, Inc.

ARTICLE II
Object

The object of the Organization shall be the encouragement of trapshooting, the protection and propagation of fish and game, the preservation of forests, and the promotion of good fellowship.

ARTICLE III
Membership

Any regular organized Gun Club in the State of New York consisting of ten or more members shall be eligible to membership in the Organization after first being approved by all of the following:

1. The State Delegate to the Amateur Trapshooting Association;

2. The President of the Organization;

3. The Secretary of the Organization.

A fee of $15.00 must accompany each application for membership, consisting of a $5.00 initiation fee and $10.00 for the current year’s dues.

ARTICLE IV
Officers and Directors

The Officers and Directors of the Organization shall be the President, Eastern Zone Vice President, Central Zone Vice President, Western Zone Vice President, Secretary, Treasurer, three Directors from each zone, General Manager (but only so long as Robert J. Spence shall hold position), Legal Counsel, Chairperson of the Finance Committee, A.T.A. Delegate, two Alternate Delegates and any A.T.A. officer who is a New York State resident at the time.

The Officers and Directors (except A.T.A. Delegate, Alternate Delegates, General Manager, Legal Counsel and Chairperson of the Finance Committee) shall be elected at the Annual Meeting by ballot and shall hold office for one year or until their successors are duly elected and have assumed office.

The General Manager shall be appointed by the Board of Directors for a term mutually agreed upon by both parties.

Legal Counsel shall be appointed for a two year term by the Board of Directors.

The State Delegate to the A.T.A. and the Alternate Delegates shall be elected by a majority vote at a meeting to be held at the Annual State Shoot. Any New York State resident shooter have a Life Membership in the A.T.A. is eligible for these offices. Any New York State resident who is a member in good standing in the A.T.A. shall have the privilege to nominate and vote for candidates for these offices.

Finance Committee: A three member Finance Committee shall be appointed for a three year term by the President and approved by the Board of Directors. A minimum of one member of the Committee must be a member of the Board of Directors. The Chairperson of the Committee shall be elected by the Committee.

This Committee shall work with the Treasurer and will be responsible for the financial control of the Organization. The details of said Committee control shall be submitted at the annual of the Board of Directors for approval by said Board. All members of the Finance Committee shall have a voice but no vote at meetings, unless they already have a vote at the Annual Meeting of Members or on the Board of Directors.

ARTICLE V
Duties of Officers

a. The President shall preside at all meeting of the Organization and all meetings of the Board of Directors, and Zone meetings, not presided over by a Vice President in his/her respective zone. The President shall also have general charge and supervision over all business of the Organization. He/she shall be a member of all committees.

b. The Vice President with the most seniority shall, in the absence of the President, discharge the duties of the President. The Vice President will chair at least one meeting per shooting year of the Directors of his/her zone. This meeting will consist of three Directors and Vice President in charge. Said meeting will be held at a time prescribed by the Vice President. The Vice President will be responsible to the Secretary to see that all minutes of these meetings are presented to the Secretary in their entirety. The President shall be presented a copy within two weeks thereafter for his approval and directions, if any. The Vice Presidents of the other zones shall also receive said minutes. No action may be taken on any subject without review by the President.

If the President or the Vice President cannot attend any of said meetings the President may appoint a substitute and said substitute shall have full power and authority to represent the Organization at said meetings.

c. The Secretary shall keep the minutes of all meetings of the Board of Directors and the Organization in proper books to be provided for that purpose. He/she shall issue all notices of meetings and shall perform such other duties as the President or the Board of Directors may require. A copy of the Minutes of the Annual Meeting will be sent to each member club in good standing within thirty days of said meeting.

d. The Treasurer shall be the custodian of all moneys, trophies, securities, and vouchers of the Organization, and shall preserve the receipts for moneys paid out by him/her. He/she is authorized to receive for the Organization and collect all dues and funds owing to the Organization; such as, refunds on individual memberships in the Amateur Trapshooting Association, contributions to annual tournaments, etc. He/she shall deposit all moneys to the credit of the Organization in such bank, or banks as the Board of Directors may designate. He/she shall have the authority to spend up to $500,000. Any amount beyond that must be approved by the President.

A detailed report of all moneys received and disbursed by the Treasurer shall be made at the annual meeting.

The Treasurer shall receive for each entrant participating in a registered shoot a daily fee in an amount set by the Board of Directors (Amateur and Professional, Resident and Non-Resident). It shall be his/her duty to collect and receive from the club holding the Annual State Zone Shoots or special tournament all moneys due to the Organization at the close of said shoot. The revenue so derived shall become property of the Organization and remittance shall be made to the Treasurer by the member clubs immediately upon the close of each State Zone Shoot or special tournament.

The Treasurer before entering upon his/her duties shall furnish to the Organization a bond in the minimum sum of $10,000 for the proper performance of such duties. This sum may be increased from time to time by the Board of Directors. The expense of such bond shall be borne by the Organization.

All checks shall be signed by the Treasurer and also, in some instances, by such co-signer as from time to time may be designated by the Board of Directors.

ARTICLE VI
Duties of the Board of Directors

a. The Board of Directors shall have general charge of the affairs of the Organization and may properly assume such other duties as are not specifically assigned to or performed by any other committee or officers, and they may create and appoint such other committees as may in their judgment be necessary. Any one or more members of the board or any committee thereof may participate in a meeting of such board or committee by means of a conference telephone or similar communications equipment allowing all persons participating in the meeting to hear each other at the same time. Participating by such means shall constitute presence in person at a meeting.

b. There shall be a perpetual reserve fund of not less than $1,000.00 and as much in addition thereto as the Board of Directors may decide as necessary or advisable to the financial security of the Organization.

c. The Board of Directors shall have supervision over all tournaments given under the auspices of the Organization.

d. The Board of Directors shall have the authority to conduct investigations or hearings relative to any complaints against any shooter who, or club which, in the opinion of the Board is guilty of unsportsmanlike conduct, prejudicial to the best interest of the Organization, and shall have the power to discipline said delinquent in accordance with its findings. Further, it shall have the right to refuse any individual entry for cause.

e. The Board of Directors may fill any vacancy caused by the death, resignation, or removal of any member or members of said Board.

f. The Board of Directors shall have the authority to establish the charge per target for all registered targets thrown for the duration of the Annual State Shoot and State Zone Shoots, and the further authority to establish the amount which the club holding Zone Shoots will be paid per registered target by the Organization for supplying and throwing said targets.

g. All designated trophy moneys as received from any source whatsoever shall be expended as directed by the Board of Directors for the purpose of securing sterling silver trophies, or any other types of trophies approved by the Board of Directors. The money spent by the Organization for all trophies awarded by it at the Annual State Shoot must be at least $1,000.00 at the lowest obtainable price. The shooters being awarded these trophies will be selected by the Board of Directors and will be so listed in the Annual Shoot Program.

h. The Board of Directors shall have full charge of all matters not fully covered in these By-Laws or not otherwise provided for by resolution passed at any Annual Meeting.

i. The General Manager shall perform his/her duties assigned, within the guidelines set by the Board of Directors.

ARTICLE VII
State Authorized Shoots

GENERAL RULES: The Organization shall conduct the Annual State Shoot and special tournaments, and shall govern all Zone Shoots and Registered Shoots
held in the State of New York.

a. No Club, whether a member of the New York State Organization or not, will be authorized to hold registered shoots unless that club owns its own shooting grounds. A member club in good standing may be authorized to hold a registered shoot at an approved unowned shooting grounds if approved by a 2/3 vote of the Board of Directors.

b. No registered shoot shall be permitted on the same day within a radius of fifty miles from another authorized registered shoot in New York State, except from October 10 to March 31.

Anything herein to the contrary notwithstanding, if clubs within the said fifty (50) mile radius desire to hold registered shoots on the same day, they shall be permitted to do so only if they file with the State Secretary prior written consent(s). Such consent(s) must be signed by the representative club’s President or Vice President and Secretary or Trap chairperson and respective Zone Vice President.

c. Winter Rules: From October 10 to March 31, if a club wishes to hold a registered shoot, it can do so by having the Trap Chairman or President call the State Secretary before the shoot begins. Any club found in violation of rules set forth, would be suspended from holding registered shoots for one year or pay a reinstatement fine of $250.00, which is doubled for subsequent offenses.

d. No registered shoot shall be permitted by a member club in conjunction with the Annual State Shoot or State Zone Shoot in its own zone.

e. If a club hosting a registered shoot fails to file a shoot report with the State Secretary within 15 days, the State Secretary shall be empowered to fine said club $25.00.

f. If the State has a rebate reduced by the A.T.A. as a result of the delinquency of a member club in sending in moneys and reports to the A.T.A., the State Secretary shall be directed to bill the member club for the amount of the reduction. Also if the fine is not received by the State Secretary within 20 days of the date of billing all future shoots of said club will be canceled and said club will be ineligible to hold another registered shoot until it has been re-instated by the Board of Directors.

g. In accordance with these By-Laws, the Board of Directors shall determine all charges to be assigned to the Organization, and no money received from any source whatsoever shall be used by the Organization for the purpose of staging a State Shoot or special tournament, except as specifically mentioned in this article.

h. The Secretary shall provide and mail for the member clubs the program to be used at the Annual State and Zone Shoots.

ZONE SHOOTS: The requirements which a qualified club must meet, when said club comes up on the rotating list for the State Zone Shoots are:

1. A club must have eight program traps plus one practice trap to be eligible to host State Zone Shoots.

2. In State Zone Shoots, the host club must supply and pay necessary cashiers, squad pushers, trap pullers, trap loaders, and any other help which may be required to run the shoot in a well organized manner.

3. The club must have a supply and, make provisions for, selling to the shooters all name brands of factory target loads at a nominal fee to be approved by the Board of Directors thirty days prior to the Annual State Zone Shoots.

4. The club must have a modern clubhouse with kitchen and bathroom facilities. The kitchen must be in operation at all times during the shoot.

Should satisfactory terms not be agreed upon with the club awarded the Zone Shoot at the Annual Meeting, the Board of Directors shall have the power to re-award the Zone Shoot to a member club which is next in line in the rotating list and will meet the requirements for holding the Annual Zone Shoot in accordance with the By-Laws of the Organization.

AGREEMENT BETWEEN BRIDGEPORT ROD & GUN CLUB, INC. (Bridgeport) and THE NEW YORK STATE AMATEUR TRAPSHOOTING ASSOCIATION, INC. (NYSATA):

1. NYSATA (sometimes herein referred to as "State") shall have the right to use Bridgeport’s grounds, clubhouse, and trapshooting facilities during trapshooting functions sponsored by the State at a cost to the State of $.0075 per target on all targets thrown, to be paid to Bridgeport upon completion of all events.

2. Bridgeport’s existing clubhouse facilities shall be operated by Bridgeport under terms to be negotiated year by year unless Bridgeport decides not to operate facilities, which decision not to operate shall not be unreasonably made. If Bridgeport decides not to operate its clubhouse, State shall be permitted to so operate it under terms to be mutually agreed.

3. Bridgeport shall maintain its grounds, clubhouse, and trapshooting facilities in accordance with specifications reasonable established by State and will negotiate with State for any special request.

4. Unless otherwise mutually agreed, State agrees to furnish all trapshooting personnel for functions sponsored by it, together with insurance, shells, targets, traps, etc.

5. Bridgeport shall have no obligations to State with respect to State sponsored functions, except for the permission hereby granted to use Bridgeport’s grounds and trapshooting facilities; and also for the use of Bridgeport’s clubhouse subject to the provisions of paragraph "2" hereof.

ARTICLE VIII
Meetings

a. The Annual meeting of the Organization shall be held in Onondaga County, State of New York, on a date and place determined by the Board of Directors. The time and place of this meeting will be announced at the New York State Shoot and will also be mailed to each member club at least thirty (30) days prior to the meeting.

Each member club of the Organization in good standing, which has held at least one registered shoot during the past shooting year, shall be entitled to one vote on all questions.

Each Officer, Director, Legal Counsel, General Manager, State Delegate, Alternate Delegates, Finance Committee Chairperson and A.T.A. officer who is a New York resident at the time, shall be entitled to one vote on all questions, irrespective of his/her relationship to, or membership in, a member club. Where, however, such Officer, Directory, or Delegate is also the representative either in person or by proxy of a member club pursuant to the provisions of this Article, he/she shall be entitled to cast a total of only one vote on any question.

b. Special meetings of the Organization may be called at any time by the President or Secretary, or upon written request of any three clubs to the President or Secretary.

Notice of any special meeting and of the purpose thereof shall be sent out by the President or Secretary of the Organization to the Secretary of each club at its last known address, at least fifteen days before the day fixed for such meeting.

No business shall be transacted at such special meeting except such as is specified in the notice.

c. The President of each club shall be the official representative of the club at all meetings of the Organization and in the absence of the President, the Vice President or in his/her absence the Secretary shall be the official representative.

If all of these officers cannot attend, the club may be represented by proxy. A delegate voting a proxy must however be a bona-fide member of the club he/she represents, and he/she may not represent more than one club. A proxy must be signed by both the President and Secretary of the club to be valid.

ARTICLE IX
Members in Good Standing

The annual dues are payable in advance and only those clubs which have paid before the current years Annual Meeting is called to order shall be considered in good standing.

A complete list of all clubs which have paid their dues shall be printed in the official program of the Annual State Shoot.

ARTICLE X
Dues

The annual dues shall be $10.00.

Reinstatement can be gained only through the payment of the regular dues, and approval by the Board of Directors.

ARTICLE XI
Amendments to By-Laws

The By-Laws may be amended as follows:

1. The proposed change must be submitted by an Officer, Director, or Member Club in good standing of the Organization.

2. The proposed change shall be submitted in writing to the Secretary of the Organization at least (45) forty-five days prior to the Annual Meeting or any special meeting.

3. The Secretary shall then notify each club at least (30) thirty days prior to the annual or special meeting, stating exactly what change in the By-Laws is contemplated.

4. It shall take a two-thirds vote of the votes represented by either delegate or proxy to pass such amendment.

ARTICLE II
Quorum

Ten delegates shall constitute a quorum for the transaction of business.

No resolutions; however, shall be adopted where the expenditure of money is proposed unless at least ten clubs are represented by either delegate or proxy.

ARTICLE III
Privileges

Any individual, a resident of the State of New York who is a member of the Amateur Trapshooting Association, shall have the privilege of discussing or speaking on any subject at any annual or special meeting of the Organization.

ARTICLE IV
Shooting Rules

The latest revised rules of the Amateur Trapshooting Association shall govern all tournaments conducted by the Organization.
